BY-LAWS OF THE
NEGROS OCCIDENTAL PRIVATE SCHOOLS SPORTS CULTURAL
EDUCATIONAL ASSOCIATION, INC.

ARTICLE I
Name

Section 1. Name - The name of the Association shall be the NEGROS OCCIDENTAL PRIVATE SCHOOLS SPORTS CULTURAL EDUCATIONAL ASSOCIATION, INC. otherwise, known as NOPSSCEA, a non-stock, non-profit corporation.

ARTICLE II
Office and Seal

Section 1. Office – The principal office of the association shall be located at the NOPSSCEA Building, PANAAD Park, Mansilingan, Bacolod City, Negros Occidental, Philippines.
Section 2. Seal – Four diagonal bars forming a triangle, each topped with a ring, with the word NOPSSCEA underneath, shall be the corporate seal of the association. The diagonal bars and rings represent four levels, namely, pre-elementary, elementary, secondary and tertiary.

ARTICLE III
General Objectives

Section 1. General Objectives – The general objectives of the association are as follows:

  1. To foster unity and cooperation among private schools in Negros Occidental; an
  2. To enhance the wholistic development of school administrators, teachers, students and personnel.

ARTICLE IV
Board of Trustees

Section 1. The governing body of NOPSSCEA is the Board of Trustees elected by the General Assembly of School Administrators.
Section 2. The officers of the association shall be a President, a Vice-President, a Secretary, a Treasurer and an Auditor and ten others which shall include the immediate past President who shall be a regular member of the Board of Trustees. They shall be elected by the Board of Trustees from among themselves.
Section 3. In addition, the following committees shall be organized to ensure the successful implementation of the programs of the association:

  1. Committee on Finance
  2. Committee on Education
  3. Committee on Culture
  4. Committee on Sports
  5. Committee on Outreach Programs
  6. Committee on Organizational Advancement
  7. Committee on Press Relations
  8. Committee on Socio-Civic and Religious Affairs
  9. Committee on Resource Generation

ARTICLE V
Functions and Powers of the Officers

Section 1. The President shall be the Chief Executive Officer of the association. In addition to the duties as such, he shall preside in all meetings of the Board of Trustees and those of the members of the association. He shall execute all resolutions and/or decisions of the Board of Trustees. He shall be charged with directing and overseeing the activities of the association. He shall appoint and have control over all employees of the association, review and approve expense vouchers. Together with the Treasurer of the association, he shall present to the Board of Trustees and the members an annual budget and, from time to time as may be necessary, supplemental budgets. He shall submit to the Board as soon as possible after the close of each fiscal year, and to the members of each annual meeting, a complete report of other activities and operations of the association for the fiscal year under his term. (June 1 to May 31)

Section 2. The Vice-President shall exercise all powers and perform the duties of the President during the absence and incapacity of the latter and shall perform duties that may be assigned by the Board of Trustees.

Section 3. The Secretary shall give all of the notices required by these by-laws and keep the minutes of the members and of the Board of Trustees and of all meetings of all committees, in a book for the purpose. He shall keep the seal of the association and affix such seal to any paper or instrument requiring the same. He shall have custody of the correspondence files. He shall maintain the members’ register. He shall also perform all such other duties and work as the Board of Trustees may from time to time assign to him.

Section 4. The Treasurer shall have charge of the funds, receipts and disbursements of the association. He shall keep all moneys and other valuables of the association in such bank or banks as the Board of Trustees may designate. He shall keep and have charge of the books of accounts which shall be open to inspection by any member of the Board of Trustees, whenever required, an account of financial condition of the association and of all transactions made by him as Treasurer. He shall also perform such other duties and functions as may be assigned to him from time to time by the Board of Trustees. He shall post a bond in such amount as may be fixed by the Board of Trustees.

Section 5. The Auditor shall examine financial records and audit money. He shall also perform other functions as may be provided for by the Board of Trustees.

Section 6. The corporate powers of the association shall be exercised, its business conducted and its property controlled by the Board of Trustees

ARTICLE VI
Term of Office

Section 1. The officers of the association shall hold office for two school years/ academic years and until their successors are duly elected and qualified.

ARTICLE VII
Membership and Dues

Section 1. All private schools in Negros Occidental are eligible for membership in the association following the qualifications for membership such as the recognition of programs granted by the Department of Education, Technical and Education Skills Development Authority and Commission on Higher Education and other such qualifications as determined by the Board of Trustees.

Section 2. A member shall have the following duties and responsibilities:

  1. To obey and comply with the by-laws, rules and regulations that may be promulgated by the association from time to time;
  2. To attend all meetings that may be called by the President;
  3. To pay membership dues and other assessments of the association.

Section 3. A member shall have the following rights:

  1. To exercise the right to vote on all matters relating to the affairs of the association;
  2. To be eligible to any elective or appointive office of the association;
  3. To participate in all deliberations/meetings of the association
  4. To avail of all the facilities of the association upon approval of the President;
  5. To examine all the records or books of the association during business hours.

Section 4. Yearly institutional membership and students’ membership fees will be collected from member schools, the amount of which shall be determined by the Board of Trustees with due consultation.

Section 5. Only schools which pay the corresponding NOPSSCEA institutional membership fee and student annual dues not later than July 31 are considered members for the current school year/academic year. Member schools who fail to remit their membership dues on the deadline will be fined according to the assessed institutional fee. However, an extension of two weeks will be given for the settlement of their dues. Non-payment of yearly student fees may deprive their participation in NOPSSCEA activities.

Section 6. Any member school which has resigned, or has taken an indefinite leave of absence and decides to reinstate as a regular member shall re-apply for membership in writing. Re-admission for membership shall be decided by 2/3 votes of the Board.

ARTICLE VIII
Meetings

Section 1. The general assembly of school administrators shall be held once a year at the principal office of the association on the first quarter of the school year/academic year.

Section 2. Special meetings may be called by the President when deemed necessary.

Section 3. The Board of Trustees shall meet quarterly at the NOPSSCEA office, the date and time to be determined by the Board.

Section 4. A simple majority constitutes a quorum.

ARTICLE IX
Funds

Section 1. The funds of the association shall be derived from admission fees, annual dues and special assessments of members, gifts, donations, endowment and other fund-raising activities.

Section 2. Every member of the association shall, in addition to the membership fee, pay dues and/or assessments that may be imposed by the association from time to time.

Section 3. Withdrawal from the funds of the association, whether by check or any other instrument shall be signed by the Treasurer and countersigned by the President. If necessary, the Board of Trustees may designate other signatories.

Section 4. Disbursements of funds must be monitored, supervised, and managed by the treasurer and the finance committee.

Section 5. The fiscal year of the association shall be from June 1st to May 31st of each year.

ARTICLE X
Elections

Section 1. Elections shall be held every other year in February during the general assembly of school administrators called for this purpose.

Section 2. Only School heads or their authorized representative can vote.

Section 3. A COMELEC of three members will be chosen by the Board of Trustees.

Section 4. All nominations should come from the member-schools in good standing.

Section 5. All nominations must be submitted to the COMELEC.

Section 6. The term of office of the elected Board of Trustees shall take effect on June 1st following the election.

ARTICLE XI
Amendments of the By-Laws

Section 1. These by-laws, or any provision thereof, may be amended or repealed by a majority vote of the Board of Trustees and by a 2/3 vote of the members at any regular or special meeting duly called for the purpose.

ARTICLE XII
Application and Effectivity

Section 1. This Constitution and By-Laws shall take effect immediately following the ratification of the members subject to the approval of the Securities and Exchange Commission.

Adopted this 4th day of August 2010 by the members of the Negros Occidental Private Schools Sports Cultural Educational Association during the First General Assembly of School Administrators held in Bacolod City, Philippines.
